• Participate as an External Board Member or an Advisory Board Member.

• Define company policies, norms and regulations, according to what is defined by company by-laws, shareholder agreement, in addition to decisions taken at shareholder meetings.

• Promote Uruguay's Free Trade Zone regime throughout the Region and the World.

BENEFITS PROVIDED BY URUGUAY'S FREE TRADE ZONE REGIME

• Companies installed within Free Trade Zones are 100% exempted from all taxes created up to now or to be created in the future. This includes VAT and Income Tax, which is not the case with other Free Trade Zone Regimes in most other countries that require different milestones in order to access certain tax exemptions.

• Free inflows and outflows of capital and dividends

• All services and goods, new or used, that enter a Free Trade Zone are exempted of import duties. Goods can remain indefinitely within a Free Trade Zone.

• Up to 50% of employees of a company installed within a Services Free Trade Zone can be foreigners, and these are exempted from paying Uruguayan Social Security Taxes.

• The State is obliged, by law, to compensate users of the Free Trade Zone for any harms or losses caused by a modification of the tax benefits provided by  the Free Trade Zone law.

• If the Free Trade Zone administrator should lose its administrator status, the State is obliged, by law, to fulfill all the Free Trade Zone User Contracts.
